Terms of Service

These RX GLEAM Terms of Service ("Agreement") govern your use of the rxgleam.com website (including all pages and features, collectively referred to as the "Site") and any associated mobile applications (collectively referred to as the "App"), as well as products and services provided on, through, or in connection with the Site and/or App. This Agreement is entered into between you and any individual assisting you in visiting, accessing, registering with, or using the Site and/or App (collectively, "you" or "your"), and RX GLEAM PLLC ("RX GLEAM," "we," "us," or "our").

RX GLEAM reserves the right to update, supplement, or modify this Agreement at any time. Such changes will be communicated through the Site, App, email notification to your registered address, or posted to your account. Changes become effective upon their stated effective date. You are responsible for reviewing this Agreement regularly.

1. Eligibility Requirements

Our services are available exclusively to individuals who are eighteen (18) years of age or older, or who have otherwise reached the age of majority in their jurisdiction, and who have accepted this Agreement. By accessing or using our services, or by purchasing any products or services through our platform, you represent and warrant that you meet these eligibility requirements. You agree to comply with all applicable laws when using our services and to use them solely for lawful purposes.

2. Privacy

RX GLEAM is committed to protecting your privacy and personal information. Our policies regarding the collection, use, and protection of your personal data are detailed in our Privacy Policy, which you should review carefully each time you access our services.

3. Device and Technical Requirements

Our services may be accessed through various electronic devices including computers, tablets, smartphones, and other compatible devices ("Devices"). This Agreement applies equally to your use of our services through any such Device. You are solely responsible for obtaining and maintaining the necessary Device, software, operating system, carrier service, and network access required to properly access and use our services. RX GLEAM does not guarantee compatibility with any particular Device, software, operating system, carrier, or network configuration. You acknowledge that information about your usage patterns and Device identifiers may be collected when accessing our services. Any fees, charges, or taxes imposed by your carrier, network provider, or third parties are your sole responsibility.

4. Intellectual Property and Ownership

The Site, App, and all associated elements including but not limited to content, information, source code, data, documentation, trademarks, copyrights, trade secrets, and other intellectual property are owned by, licensed to, or permissibly used by RX GLEAM. You are granted no rights, titles, or interests in these properties except for the limited rights expressly provided under this Agreement. Nothing in this Agreement shall be construed as a waiver of RX GLEAM's rights under applicable law.

5. License and Usage Rights

Site License

Subject to this Agreement and any applicable payment or registration requirements, RX GLEAM grants you a limited, non-exclusive, personal, revocable, non-transferable, and non-sublicensable license to access and view the publicly available pages of the Site. If you maintain an account in good standing, this license extends to subscription-only content. Unauthorized use or breach of this Agreement automatically terminates this license.

App License

If you download a legitimate copy of the App to your Device and accept this Agreement, RX GLEAM grants you a limited, non-exclusive, personal, revocable, non-transferable, and non-sublicensable license to access and use the App on that Device for its intended purpose. You may not rent, lease, sell, transfer, redistribute, or sublicense the App. If you transfer ownership of a Device containing the App, you must remove the App prior to the transfer. Unauthorized use or breach of this Agreement automatically terminates this license.

User Content License

All content you submit, upload, or publish through our services, including any medical information provided ("User Content"), grants RX GLEAM an irrevocable, non-exclusive, royalty-free, fully-paid, transferable, sublicensable, perpetual, and worldwide license to use, store, reproduce, modify, distribute, and otherwise utilize such content as necessary to provide our services. RX GLEAM may delete or dispose of User Content at any time unless otherwise required by law or separate agreement.

6. Service Suspension and Termination

RX GLEAM reserves the right, at its sole discretion, to suspend or terminate all or any part of the Site, App, or your account at any time without notice. RX GLEAM shall not be liable to you or any third party for any consequences arising from such suspension or termination, including but not limited to lost profits, service disruptions, or content loss.

7. User Accounts

Registration

To access subscription features, you must create a personal user account ("User Account") and accept this Agreement along with any additional terms. Registration may require satisfying certain conditions, including providing additional information. Unless otherwise authorized in writing, you may maintain only one non-transferable User Account.

Account Security and Accuracy

You are responsible for all activity occurring under your User Account. You must maintain accurate, complete, and current account information, including a valid payment method and email address. Protect your login credentials and notify RX GLEAM immediately if you suspect unauthorized access. RX GLEAM and its authorized agents may access your account information as necessary to fulfill services and obligations.

8. Subscriptions and Billing

Subscription Plans

Access to subscription features requires an active subscription. Subscription fees ("Subscription Fees") will be charged to your designated payment method at the beginning of each subscription period. Payment transactions are processed through third-party payment processors integrated with our platform.

Automatic Renewal and Cancellation

You may cancel your subscription at any time through your patient portal or by contacting our support team. If not cancelled before the end of your current subscription period, your subscription will automatically renew, and applicable fees will be charged. Subscription access may continue through the end of your paid period following cancellation.

Pricing

Subscription Fee amounts are set at RX GLEAM's discretion. Current pricing information is available at www.rxgleam.com. RX GLEAM reserves the right to modify pricing at any time.

9. Payments

Payment Processing

All monetary transactions are processed through third-party payment processors. RX GLEAM's relationship with these processors is contractual; they operate independently and are not under RX GLEAM's direct control.

Right to Refuse Service

RX GLEAM reserves the right to refuse products or services if fraudulent or illegal activity is suspected, including use of stolen payment methods or prescription fraud. We may share relevant information with payment issuers, law enforcement, or other parties to prevent legal violations or financial loss.

Payment Obligations

You are responsible for all charges accrued under your accounts, including all associated fees, penalties, taxes, and collection expenses. You must maintain accurate, current payment information and promptly notify us of any changes.

Refunds

All sales are final except as provided in our Refund Policy. Refund requests must be submitted within fifteen (15) days of your order by emailing support@rxgleam.com with the subject line "Refund Request." Include transaction details, order information, reason for dissatisfaction, and your contact information. RX GLEAM reserves the right to request additional information or deny suspicious requests.

10. Electronic Communications

Consent

By using our services, you expressly consent to receiving communications from RX GLEAM for any purpose, including but not limited to treatment notifications, prescription updates, billing information, marketing materials, and service announcements. These communications may be delivered via the Site, App, email, automated telephone systems, text messages (SMS/MMS), or other electronic means. Standard messaging and data rates may apply. This consent is not required as a condition of purchase.

Opt-Out Options

You may opt out of marketing communications at any time by following the unsubscribe instructions in any message, managing preferences through your account settings, or contacting us at support@rxgleam.com. Note that opting out of certain communications may impact your ability to receive important service notifications.

11. Prohibited Activities

You agree not to engage in any of the following activities:

• Impersonating any person or entity
• Infringing intellectual property, privacy, or publicity rights
• Reproducing or creating derivative works without authorization
• Publishing illegal, objectionable, defamatory, or misleading content
• Disclosing personal information of others without consent
• Using automated systems to access, scrape, or copy content
• Attempting to compromise system security or integrity
• Interfering with the operation of our services
• Engaging in commercial activities not authorized by RX GLEAM
• Any other activity RX GLEAM deems harmful or improper

12. Disclaimers and Limitations

General Disclaimer

YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK. THE SITE, APP, AND ALL ASSOCIATED PRODUCTS AND SERVICES ARE PROVIDED ON AN "AS IS," "WHERE IS," AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. RX GLEAM EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Information provided through our services is for general informational purposes only and should not be relied upon as medical advice. Limitation of Liability

IF YOU ARE DISSATISFIED WITH OUR SERVICES, YOUR SOLE REMEDY IS TO DISCONTINUE USE.

13. Indemnification

You agree to indemnify, defend, and hold harmless RX GLEAM and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from your use of our services, violation of this Agreement, infringement of any rights of third parties, or any content you submit through our services.

14. Governing Law and Dispute Resolution

Governing Law

This Agreement and all disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Binding Arbitration

Any dispute arising from this Agreement or your use of our services shall be resolved through binding arbitration administered by JAMS or its successor, rather than in court. The arbitration shall be conducted before a single arbitrator in accordance with JAMS Comprehensive Arbitration Rules. By agreeing to arbitration, you waive your right to a jury trial and to participate in class action proceedings.

Arbitration Location and Process

Arbitration shall be held in Wayne County, Michigan, United States. The arbitrator's written decision shall be final and binding. Judgment on any award may be entered in any court of competent jurisdiction. Each party shall bear its own costs, with JAMS administrative fees shared equally unless otherwise awarded by the arbitrator.

15. Term and Termination

This Agreement remains in effect until terminated. RX GLEAM may terminate this Agreement at any time for any reason without notice. You may terminate by cancelling your subscription and discontinuing use of our services. Upon termination, all rights granted to you revert to RX GLEAM, but all disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions shall survive.

16. Miscellaneous Provisions

• Force Majeure: RX GLEAM shall not be liable for any failure to perform due to circumstances beyond its reasonable control.
• Assignment: You may not assign or transfer any rights under this Agreement without RX GLEAM's prior written consent.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Entire Agreement: This Agreement, together with referenced policies, constitutes the entire agreement between you and RX GLEAM regarding the subject matter hereof.
• Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
• Headings: Section headings are for convenience only and shall not affect interpretation of this Agreement.
